Counsel - Aftermarket & IP Duties: Overseeing and advising the TAP Management team on all legal aspects that arise in connection with the operation of a vertically-integrated auto parts business with worldwide retail, distribution, and manufacturing operations. Managing all TAP real estate matters worldwide ( e.g. , leasing, renewals, permitting, lease administration, etc.). Negotiating, reviewing, and administering the TAP’s material commercial contracts. Driving compliance with applicable regulations across the US and Canada ( e.g. , EPA / ARB enforced regulations; OSHA enforced regulations; NHTSA enforced regulations, including TREAD Act and FMVSS, etc.). Assisting with the development and implementation of TAP’s employment policies and practices and advising on compliance with applicable state and federal labor laws. Supervising TAP’s paralegal/administrative assistant. Developing and implementing strategy, procedures and programs to develop and maintain the intellectual property portfolios and legal rights of Polaris, with an emphasis on the patent portfolio strategy, protection of trade secrets, strong contract negotiation, and evaluation of new inventions. Support and manage patent litigation and pre-litigation activities, including working with outside counsel to develop strategies to defend, resolve and prevent various forms of litigation in the US and international jurisdictions. Assist in the drafting and prosecuting of patent and design applications and manage appeals, oppositions, re-examinations, etc. filed by outside counsel or third-parties. Efficiently manage product liability, warranty and commercial claims and other litigated matters in a manner that reflects internal priorities and protects Polaris’s interests.

Qualification and Experience

Qualifications: JD Degree from an accredited law school. Admitted to practice law in any U.S. state and capable of obtaining admission in California and/or Minnesota after hire; admission in California and/or Minnesota preferred. 10+ years’ experience, either working at a law firm or in-house, with preference given to candidates with substantive in-house experience. Experience currently or previously practicing in California in the areas of consumer protection, labor and employment and/or litigation. Experience negotiating leases and real property transactions. Experience practicing patent law in a law firm or corporate legal department with a sophisticated patent practice. Experience in the areas of product liability, warranty and/or commercial litigation. Creative, innovative, professional, customer-focused, fast learner and self-starter with strong business acumen. Ability and desire to actively collaborate with and contribute to the efforts of legal peer team. Motivated, proactive and confident with a strong drive and will to perform, while also being flexible to handle both large, small, and unexpected projects with enthusiasm. Must be able to take ownership of projects and responsibilities in a fast-paced and ever-changing business environment. Strong organizational skills, detail oriented and accurate with ability to establish plans, manage a large and varied workload of assignments with conflicting priorities, follow up, and complete work by deadlines. Excellent written and oral communication skills, analytical skills, client relationship skills, and ability to interact with engineers, lawyers, and executives at all levels, both inside and outside the organization.
