General Counsel
The candidate will responsible for managing, reporting and advising on all legal affairs of the Company, including vendor and customer contracts, mergers and acquisitions, litigations, policies and procedures, safety, risk mitigation, and compliance. This is a highly visible and critical role, supporting the Company’s operations and business growth initiatives, with far reaching impacts across the company. The GC must provide a high-level of service to the operations team, back-office support departments and executives. Advising executives, senior management, and directors on all legal matters. Coordinate all outside legal counsel in various disciplines, such as contracts, litigation, employment, and general business transactions. Establish and implement legal policies and procedures. Manage all legal aspects of municipal contracts with cities, counties, state and federal agencies. Lead all legal aspects of merger and acquisition transactions, including the due diligence for potential transactions, real estate and capital investments. Review and assist with property and casualty insurance renewals to ensure proper coverage and adherence to contract requirements. Mitigate company and business risks, including supervise the safety and environmental compliance departments. Oversee all litigations, including employment, contract and property casualty claims. Collaborate with business unit executives and facility managers to solve legal issues and avoid legal risks. Review and evaluate customer and vendor contracts and processes. Keep current on legislation, laws and legal trends potentially affecting the company, employees or business. Regularly report to the executive team and Board of Directors. Juris Doctorate of Law from accredited law school. At least 10 years in legal practice or business law management, including contract negotiations, M&A transactions, municipal contracts and employment law, previous in-house experience preferred. Proficient legal experience in successful execution of business transactions. Experience building and managed high-performing teams and creating efficiencies in process and documents to simplify complex work streams and reduce overall workload. Excellent interpersonal skills and management experience. Ability to juggle multiple priorities and meet time pressured deadlines. Proven problem solving, analytical, oral/written communication and customer service skills,Proficiency with MS Office (Word/Excel/Access/PowerPoint).
