Associate Counsel The candidate will provide support to other senior attorneys in the Legal Department on wide array of legal issues assigned by and under the supervision of these senior attorneys. Provides legal advice and support to the Company on a variety of legal matters, including U.S. open and closed-end investment companies, investment advisor, UCITs and public company regulatory compliance, disclosures and filings. Provides timely and high quality legal services and advice to management on a variety of legal issues and maintains a proactive approach in helping to identify and minimize risks to the organization. Assists with the preparation of open and closed-end investment companies and UCITs board meeting materials and with approval, registration and ongoing maintenance of open and closed-end investment companies and UCITs. Stays current on legal rules and legislation, specifically the Investment Company Act of 1940, the Investment Advisers Act of 1940, and applicable UCITs Directives and regulation. Participates in the coordination with the Compliance and Internal Audit Departments to provide legal analysis and advice in connection with the ongoing development of procedures, and the resolution of potential compliance or audit issues. Reviews contracts, RFPs and other documents as needed. Performs related duties as assigned.
Qualification and Experience
The candidate should have JD degree from an accredited law school and admitted to practice law in at least one state. Ability to become a member of or register as in-house counsel with State Bar of Illinois. Must have 5-10 years of legal experience practicing law, with experience in securities laws. Knowledge and practice in the Investment Company Act and Investment Advisors Act. Excellent verbal and written communication skills required. Well organized with the ability to manage multiple assignments and deadlines. PC skills in Microsoft Word, Excel and PowerPoint is a must.
