Senior Associate The candidate will work with Global Transaction Tax team to provide practical tax advice to corporate and private equity buyers throughout the transaction lifecycle. Work alongside other A&M professionals with deep operating and financial related experience to form a focused and tailored approach to rapidly identify and understand potential deal breakers, value drivers and other areas of specific interest to clients. Research and apply income tax knowledge to client situations. Identify opportunities for further tax efficiencies, and review and evaluate significant tax attributes. Review and comment on purchase agreements and disclosure schedules, and evaluate potential acquisition structures. Model transaction scenarios, identify matters to be addressed post-closing, and integrate related risks and opportunities. Serve as the Global Transaction Tax team Brazilian tax contact, and provide Brazilian tax advice and input as related issues arise. Perform due diligence, including review of tax returns, financials, and other documentation to evaluate potential tax risk and opportunities. Review and comment on tax aspects of financial models, purchase agreements, and structuring calculations. Work on processes and resources for assigned work streams, including creating and preserving relevant diligence work products, ensuring supervisors can timely review and provide constructive feedback of deliverables, and responding to changes in workflow. Research and draft memoranda on federal tax matters, coordinate with state and local and international tax team members, as well as financial and operational due diligence team members, to deliver highest quality integrated work product. Develop and be responsible for client relationships by communicating and responding to client expectations, gathering data relevant to the engagement, and tailoring project deliverables accordingly. Review target's historic tax profile, planning, tax examinations, acquisitions/dispositions, and filing history to assess potential risks and opportunities. Should have Master’s degree or LL.M. in Taxation. Should have 2 years of tax consulting experience, including at least one year of experience applying Brazilian tax law. Must have experience performing legal research and prepared memoranda on tax issues including corporate income tax, international tax rules including transfer pricing, thin-capitalization, and taxation of inbound and outbound investments; and counseling clients on structuring of domestic and foreign corporate transactions and relevant tax effects, including mergers and acquisitions and capital market transactions.
