Paralegal The candidate will be organizing and maintaining corporate records and databases (including updating corporate minutebooks and uploading and maintaining documents and corporate entity changes in electronic database). Serving as initial point of contact for internal requests for corporate documentation and general corporate support. Coordinating the signature of corporate documentation by subsidiary directors and officers. Overseeing and maintaining subsidiary corporate compliance requirements, including by coordinating with local counsel and secretarial services on documentation. Maintaining corporate housekeeping documentation for the companyâ€™s international and domestic legal entities (e.g., minutes, consents and certificates, annual appointments of directors and officers, etc.). Drafting and filing of state corporate documents, including name registrations and renewals. Overseeing the creation, merger or liquidation of domestic and international legal entities. Preparing documentation for intercompany transactions (including for non-U.S. subsidiaries), including intercompany agreements and corporate documentation. Developing, maintaining and continuously improving template documents and processes for routine subsidiary compliance, intercompany documentation and recurring special projects. Assist attorneys with corporate transactions, such as M&A activity, real estate transactions, and financing programs, as needed, including integration and transition activity. Conducting legal research as needed.
Qualification and Experience
The candidate must have 5+ years of experience managing corporate entities and necessary documentation in an in-house department of a public corporation and law firm. Experience supporting non-U.S. subsidiaries is highly preferred. Experience supporting corporate finance matters is required. Professional and effective written and oral communication skills, with strong attention to detail is needed. Excellent organization and advocacy skills is must. Proficiency in the following software: Word, Power Point and MS Outlook is essential.
