San Francisco office of our client seeks general counsel with 5+ years of law firm professional ethics or risk management experience. The candidate will advise attorneys and management on issues of legal ethics, professional responsibility, client relationship risk management, and identifying and resolving ethical conflicts. Will prepare conflict waivers and establish ethical walls. Coordinate with the Business Intake Committee and manage new client intake and due diligence processes. Advise attorneys on engagement issues and compliance with client requirements. Draft and review related documentation (engagement letters, outside counsel guidelines). Develop and implement client engagement policies and forms. Advise on preservation and retrieval obligations regarding client records and transfer of client records. Respond to discovery directed to the Firm as a non-party (subpoenas). Assist in responding to RFP’s. Coordinate insurance renewals and review certain policies. Assist in claims reporting and administration. Update and enhance risk management policies and guidelines, and prepare General Counsel alerts and other advisories. Assist in developing Firm-wide compliance regimes and training (professional responsibility, anti-bribery and corruption, data privacy and security issues). Assist in responding to client information requests and compliance audits. Advise on reporting and disclosure matters (responses to client audit letters, opinion letters, and confidentiality issues). Update and monitor compliance with attorney Bar qualification and reporting matters. Draft and review Firm contracts with vendors and consultants. Coordinate client administration related to incoming and departing attorneys (conflicts, transfer of client files). Oversee firm corporate issues (partnership registration, filings, regulatory submissions). Review and assess bankruptcy filing by clients/former clients. Responsible for administration of Firm’s professional risk management functions, including Conflicts, Court Services, and Calendar departments. Active Bar license in good standing are required.
