Associate Director, Legal and Business Affairs Duties: Under general supervision with latitude for independent judgment and decision, participates in the legal and certain related financial and business operations and aspects of the Company, involving negotiations, deals or contracts affecting copyrights, licenses, royalties, fees, claims, settlements, litigation and other related legal and/or business matters. Drafts publishing agreements/contracts including co-publishing, songwriters, administration, sub-publishing, purchase, finder, blanket digital licenses, and contracts related to the acquisition and/or administration of music production libraries. Participates in the negotiation and signing of agreements/contracts with singers, songwriters, groups, orchestras, publishers, agents, producers, music production libraries, or other personnel deemed appropriate by superiors. Provides legal counsel and guidance to the officers and directors of the Company and to all other corporate personnel on corporate matters involving legal issues as directed by the Head of Legal & Business Affairs. Responsible for special projects as assigned by the Head of Legal & Business Affairs, or other senior officers of the Company. Involvement in Corporate development/M&A. Coordinates, confers and works with outside counsel, their respective staffs and principals, Corporate Legal Department, other Corporate Companies on legal and business matters concerning the Company. Reviews and makes recommendations on the payment of certain fees, royalties, copyrights, licenses, invoices, claims, judgments, and related financial matters. Makes recommendations to management on legal aspects of Company procedures, business relationships, communications and related matters, anticipating and guarding against legal risk. Works with other department heads and staff such as Copyright, Catalogue Development, Licensing, Royalty, IT, Creative and Print, on Company related matters. Makes recommendations to management on questions of law, codes, statutes, regulations and rulings affecting the operations of the Company. Attends Company staff meetings and prepares necessary and required reports to both Company principles as well as Corporate. Handles and safeguards confidential and proprietary information.
Qualification and Experience
Qualifications: A baccalaureate degree including business related courses such as accounting, finance, business administration and management would be preferred. A graduate degree in law (LL.B. or JD), and State Bar Certification, California Certification preferred. 2 years of relevant professional legal experience; 1+ of which will have been with a law firm or corporate business in, or affiliated with, music publishing, engaged in legal and related business affairs operations such as, but not limited to, negotiations, drafting and administration of contracts, litigation, all aspects of copyright, licensing, fees, royalty payments, claims, etc; Or, a satisfactory equivalent of education, training and experience in related fields and/or educational disciplines, sufficient to qualify for the requirements of position. General computer skills and a working knowledge of Microsoft Office with emphases in Word. Strong research and analytical skills. Knowledge of general business practices. A strong work ethic. Strong organization skills and pay high attention to detail. Strong communication skills (written and verbal). Ability to adhere to deadlines and execute on tasks and handle multiple, diverse assignments. Ability to produce quality work and be accountable. Time Management Skills. Ability to work well in team. Ability to be innovative and suggest change/improvements within scope of work. Ability to anticipate needs and creates efficient and effective processes.
