Corporate Counsel The candidate will provide analysis and counsel on various legal and policy issues, anticipate and guard against legal risks facing the company, and develop and recommend company policy and position on legal issues. Will draft, negotiate and administer a wide variety of commercial agreements, including supplier contracts, customer contracts, distributor agreements, joint development agreements, non-disclosure agreements and license agreements. Ability to manage all types of claims made against firm, whether pre-filing, in litigation or arbitration. Types of claims will include: commercial contracts, warranty disputes, personal injury matters, environmental, insurance and anti-trust. Assist in implementation of the Company’s compliance and training programs, including FCPA anti-bribery and competition law. Develop and recommend company policy and position on legal issues. Supervise and assist outside counsel to represent the Company or its officials in various legal proceedings throughout the world. Write, review, and edit reports, opinions, correspondence, articles, and other documents. Develop and recommend operating policy and procedural improvements. Ability to operate in a global marketplace. Perform other duties as assigned.
Qualification and Experience
The candidate should have completion of a legal degree from an accredited law school. Should preferably have 10+ years of experience of broad commercial experience in a corporate law department and a private law firm. Familiarity with NHTSA is beneficial. Knowledge of Anti-Trust and Competition law essential. Familiarity with the Automotive Aftermarket needed. Knowledge of the global automotive industry is preferred. Requires license to practice law in United States. Ability to speak German, Spanish, Portuguese or Mandarin a plus.
