Senior Corporate Paralegal
The candidate will be responsible for performing a variety of support duties to assist the Legal Department, and should have extensive experience working on corporate transactions including mergers and acquisitions and corporate financings, as well as equity plan administration and traditional corporate governance matters. Prepares agreements for attorney review based on approved templates including nondisclosure, employment and equity award agreements. Supports corporate transactions, including preparing collateral documents for credit facility and closing certificates, and coordinating approvals and signatures of documents. Drafts corporate governance documents and board material, including minutes, agendas, written consents, committee charters and corporate policies. Leads and manages internal team's efforts for the timely, accurate and secure posting of materials on board portal. Oversees entity management including minute books and resolutions; prepares and files state qualifications; collaborates with tax and treasury personnel; and prepares and files documents for the formation, maintenance (e.g. annual reports) and elimination of legal entities. Maintains internet-based legal entity management database. Researches state specific organizational document requirements. Establishes and maintains shared drive for Legal Department files. Responds to KYC requests and other requests for information on company entities.

Qualification and Experience

The candidate must have 10+ years of corporate transactional experience. Should have 10+ years of M&A and Corporate Governance experience. Must have superior MS Office proficiency - Word, Excel and PowerPoint. Should preferably have Paralegal certification from an ABA-approved program. Experience with BoardVantage board portal is a plus. Must have mastery of the English language, both written and verbal. Should have strong attention to detail, is dependable and follows through. Should have ability to analyze data and present recommendations based on outcomes of analysis. Must have high level of maturity to handle sensitive and confidential situations. Should have strong work ethic and excellent time management skills. Must have strong interpersonal skills and ability to work well with people throughout the organization.
