Corporate Legal Analyst The candidate will be responsible for a variety of governance and compliance matters worldwide. Creates a variety of documents needed to maintain our corporate entities in over 26 countries (e.g., board resolutions, shareholder resolutions, powers of attorney, change in directors, statutory filings, etc.). Provides support to our European legal team for an additional 22 corporate entities and support to our parent company for their work in Japan, Korea, and Singapore. Coordinates approvals and signatures from a variety of functions and vendors in each country. Maintains trackers showing the status of these filings in all countries. Maintains database and file room with original documents of these government filings. Responds to a high volume of requests from our parent company and others for copies of these documents and for a status reports on open filings. Coordinates our response to governance and compliance related audits. Maintains corporate entity information sheets that show registered addresses (which change when we change offices), directors (which change whenever we make changes to the directors of our various entities), company registration numbers, tax IDs, etc. Maintains files that identify the custodian of company chops in countries which use chops and our tracker that shows approvals each time the chop is used. Audit and track chop usage. Assists in the purchase order and invoice approval process as requested. Tracks a variety of projects and tasks using Microsoft Excel and other applications. Must have Bachelors degree and Law degree (JD). Should have strong academic background. Word and PowerPoint expertise, with basic Excel proficiency is required.
