Assistant General Counsel The candidate will perform a variety of complex legal activities and provide legal advice within area of expertise to ensure their activities, policies, business practices, and transactions comply with all relevant laws and regulations, thus helping to protect the organization from legal exposure. Will identify business solutions and make recommendations to senior leadership on how to respond to legal issues or proposed changes in laws and regulations, demonstrating and reaffirming the value of the Legal department as a strategic partner. Review and approve legal contracts, letters of agreement, and other documents related to a variety of trade, commercial, financial, and operational matters (e.g., loans, leases, purchase agreements, acquisitions, divestitures, employment contracts) to protect the organization's legal and business interests. Contribute to the strategic planning process by applying independent judgment in determining courses of action required to perform assignments. As a senior legal liaison to the business, work proactively with cross-functional leaders to help achieve common goals and objectives through thoughtful analysis and collaborative partnership, making recommendations on all matters including policies and complex legal problems as needed. Must be responsible for the analysis of complex legal issues and implications on matters of significant impact to the business. Under the guidance of the VP of Legal, provide legal oversight, solutions-oriented guidance and recommendations to stakeholders and Senior Leadership on all legal matters affecting the Company, thereby articulating and demonstrating the value and importance of the Legal department. Contribute to financial decision-making and strategic planning by working with a variety of managers and stakeholders on providing legal advice and counsel on commercial contracting matters with customers, vendors and other counterparties. Deploy value-based policies, along with effective employee training, to help protect the organization from legal liability. Draft and solidify agreements, contracts and other legal documents to ensure the Companyâ€™s full legal rights are protected. Manage contracts with customers, vendors, consultants, others, including negotiation of terms and conditions, analyzing and minimizing risk, drafting and executing contracts. Ensure the legal rights of the Company are protected, its legal obligations and potential exposures and risks are well defined and understood by management, and that the Company complies with applicable laws and regulations. Establish and maintain effective working relationships in support of business units, partnering proactively in the interest of achieving objectives and minimizing risk and exposure to the business. Provide clarification on legal language or specifications to everyone in the organization, with a special emphasis on translating legal knowledge into intelligent business solutions. Develop, maintain, and enforce the legal role in the business process infrastructure. Coordinate the work of outside legal counsel on related projects. Should have strong verbal, written and interpersonal skills. Must be able to convey ideas and messages effectively, both formally and informally, to a wide range of stakeholders, ranging from third-party partners to senior internal leadership. Must deliver clear, concise, accurate, articulate and persuasive written and oral messages, supplying supporting facts as necessary. Must be able to prepare reports, documentation, and other written information thoroughly and completely. Must demonstrate the ability to keep abreast of business conditions in order to partner proactively with relevant stakeholders and deliver sound advice and counsel in the areas of financial decision-making and strategic planning. Should have the understanding of both the legal and business impacts of decisions. Must demonstrate strong general business acumen by interpreting information from the business and translating that into legally sound business solutions. Should have a JD degree from a top law school Member in good standing of a state Bar. 8+ years of relevant work experience in a corporate practice area, biotechnology or medical device industry experience is strongly preferred. Should be experienced business lawyer with ability to form strong relationships with stakeholders at all levels of the organization as well as third-party partners on an as-needed basis. Must have strong interpersonal, analytical, problem solving, organizational, drafting, negotiation and communication skills. Should have experience in drafting and negotiating various types of agreements including license agreements, vendor agreements, services agreements, confidentiality agreements, joint ventures, 510(k) legal review, etc.
