Senior Attorney / Assistant Legal Counsel Duties: Drafts, negotiates and reviews commercial agreements, including purchase and sale agreements, service agreements, confidentiality agreements, access agreements, joint venture agreements, operating agreements, property management and leasing agreements, easements, REAs/OEAs, declarations, assignments, merger and acquisition documents, loan agreements, license agreements and various inter-company agreements, and partners with other in-house counsel and outside counsel in corporate, real estate and financing matters. Manages activities of outside counsel and paralegals in the Corporate and Transactions Group. Provides legal counsel and support to DDR executives and various departments, including the Transactions, Capital Markets, Funds Management, Development, Construction and Tax departments. Manages paralegals, outside counsel and other employees in property level requests, including research for development and redevelopment projects (e.g., third-party consent rights, exclusive or prohibited use analysis, etc.) and third-party and governmental notices and requests. Provides follow-up and support with respect to these matters. Maintains a professional and technical knowledge by attending educational workshops, reviewing professional publications, and establishing personal networks. Assumes additional responsibilities and performs special projects as needed or directed.
Qualification and Experience
QUALIFICATIONS: JD Degree from accredited law school with 7+ years of experience in corporate real estate transactions or in-house real estate acquisitions, dispositions and financings. State Bar license. Large law firm experience providing transactional services for retail real estate clients preferred. Developed knowledge of commercial real estate transactions and real estate operations. Working knowledge of business dealings with lenders and standard accounting practices. Developed knowledge of the organizational design and functional responsibilities of the organization including corporate policy with regards to acceptable business practices. High degree of initiative and independent judgment. High degree of self-confidence with strong written and verbal communication, negotiation, and presentation skills. Ability to identify issues, take initiative to resolve these issues and follow-up until completed. Ability to prioritize and manage multiple projects, adhering to strict deadlines. Ability to work well under pressure, meeting deadlines consistently. Ability to review, analyze and interpret transactional documents with an ability to interpret and explain complex instructions. Strong analytical and problem solving abilities. Ability to work effectively with cross-functional groups in solving business problems. Computer skills; spreadsheet software capabilities. Highly detail oriented; organized.
