Corporate Paralegal
Duties: Assisting Legal Department with tasks related to acquisitions, financing/loan transactions, commercial property ownership, new businesses, entity maintenance, intercompany agreements, licenses, certifications, Medicare and Medicaid enrollment (including CHOW/CHOI), revalidations, disclosure of ownership and civil rights compliance. Assist in the preparation for and closing of corporate acquisition transactions, including, due diligence collection/review/circulation, drafting of purchase agreements, operations transfer agreements and ancillary acquisition documents; coordination of document execution and delivery; maintain electronic files related to same Assist Treasurer and Finance department in connection with closing of financing/loan transaction, including due diligence production, drafting ancillary corporate documents and coordination of document execution and delivery; maintain electronic files related to same Maintain and provide information for monthly compliance certificate for credit agreements; draft amendments to intercompany promissory notes. Assist in transactions related to commercial property ownership, including but not limited to, comprehensive due diligence, review/analysis of title commitments and surveys, order and review. UCC/judgment/lien/bankruptcy searches and post-closing items; maintain electronic files related to same. Establish all new legal entities with the appropriate Secretary of State office and related authorizations and qualifications in other states Submit any necessary changes to the Secretary of State to maintain accurate records Drafting various corporate documents including stock certificates, bylaws, annual minutes, resolutions and consents Establish and maintain all corporate records in the Corporate Minute Books Create and maintain records for internal agreements (e.g., Property Management Agreements, Healthcare Provider Services Agreements, etc.) Responsible for filing for state licensing (including changes of ownership) and all necessary renewals for all business units of the organization. Create/compile the Disclosures of Ownership for the facilities under survey. Participate with the Medicare Administrative Contractor (MAC) team to identify potential problems and resolve issues involving active provider enrollment records File all initial applications, Changes of Ownership, Changes of Information, new branch openings, revalidations and re-credentialing for all facilities (SNF, ALF, PCH, HHA, Hospice, DME and Pharmacy) to be enrolled in the Medicare and Medicaid Programs Assist with annual filings for Organization’s continuing care retirement communities Assist various department with data collection (compiling lists, providing corporate documentation,) to assist in timely completion of open projects throughout the organization.

Qualification and Experience

REQUIREMENTS: Bachelor’s Degree from accredited 4 year university. 5+ years of previous experience as a paralegal at a law firm or corporate environment. Familiarity with corporate, real estate and finance documents required. Healthcare experience highly preferred. High level of competency in a range of software packages including Word, Excel, and PowerPoint. Knowledge of SharePoint desirable, but not required. Excellent verbal and written communication skills. Excellent organization skills. Ability to work well and communicate with others across various Company department and at all corporate levels in a tactful and diplomatic manner. Positive and enthusiastic attitude. Ability to take initiative. Must be proactive and self-motivated. Ability to meet deadlines while maintaining attention to detail. Sound judgment and discretion with strong work ethic.
