Corporate Counsel The candidate will manage the daily document flow with enough remaining bandwidth to take on an array of projects, including supporting the Company’s M&A and financing activity, managing commercial disputes, corporate governance document flow and legislative lobbying efforts. Will be drafting, reviewing and signing off on a wide array of contract work, including real estate, supply agreements, NDAs, loan agreements, services agreements, employment agreements. Providing full legal support, from term sheet through closing, on the Group’s more substantive transactions. Fielding legal questions from head office and subsidiaries regarding contracts, corporate governance, regulatory matters, labor law. Developing and implementing the group’s trademark and IP strategy, including protection and intergroup licensing real estate transaction, asset acquisitions, internal. Supporting corporate governance document flow, with assistance of a paralegal, including drafting of corporate resolutions. Managing relations with outside counsel, including billing management and budgeting. Must have JD degree and state Bar admission. Should have 5-7 years of legal experience, mixture of firm and in-house experience preferred.
