Associate General Counsel The candidate will provide legal advice and services on issues concerning the rights, obligations, risks and privileges of the organization. Protect the organization's rights in contract negotiations, settlements and litigation. Provides a full range of legal advice and services and may specialize in one of more areas such as mergers and acquisitions, transactional work, commercial law, contracts law, benefit law, insurance law, regulatory and compliance. Negotiate confidentiality agreement with customers, customerâ€™s consultants and/or vendors, and other entities with which does business. Provide legal support to a team of non-disclosure agreement specialists on the Contracts Legal Team, including (a) consultation on template language and (b) by one year after date of hire, serve as the primary contact for escalated negotiations with customers and their consultants / vendors. Provide legal support (including confidentiality agreement drafting and negotiation) to Healthcare Economics and Underwriting for data releases related to RFP/RFI and special projects, including, by one year after date of hire, serving as primary contact for all RFP/RFI NDAs. Maintain various confidentiality agreement templates that are not customer-specific and work with NDA specialists to achieve consistent legal language to be used in both customer specific and non-customer specific confidentiality agreements. Draft and negotiate with consultants/vendors non-routine confidentiality agreements that are not customer specific. Assist in confidentiality agreement breach/enforcement matters.
Qualification and Experience
The candidate must have Juris doctorate. Should have 5+ years experience practicing law to include 3+ years of contract law and/or procurement experience. Understanding of contract law, in particular itsâ€™ application to non-disclosure/confidentiality agreements is needed. Strong drafting skills is must. Indemnification experience is a plus. Intellectual property rights experience is an asset. Anti-trust law experience is helpful. Experience with HIPAA and other privacy and security laws and regulations is an asset. Experience with FOIA is preferred. Experience with Business insurance, particularly in the areas of cyber-security and E&O is desired.
