Corporate Counsel Responsibilities: Serves as primary in house lawyer for business conducting operations within the United States and Canada. Leads internal legal function. Support internal business leaders in understanding legal considerations and solutions. Establish best practices for contract review processes and contract management. Drafts, negotiates, and finalizes a wide variety of commercial agreements for the business. Assist with additional tasks and projects as required, including other significant business transactions. Responsible for providing analysis and counsel on corporate legal issues such as general contracts, third party agreements, compliance, and vendor/supplier relationships. Anticipate and guard against legal risks facing the company. Help create and implement compliance procedures where needed. Advise senior management on legal issues such as contracts and compliance. Develop and recommend company policy and position on legal issues, compliance, and regulation. Conduct and coordinate research into a variety of legal issues. Work with outside counsel legal matters as required. Draft agreements that minimize risks and maximize legal rights. Lead Company’s collections efforts with vendors/suppliers/customers. File liens for Company when appropriate. Maintain confidentiality
Qualification and Experience
Qualifications: Bachelor’s degree in law or J.D. Degree. Should have 5+ years of legal counseling experience in a business environment. Experience in both a law firm and company setting a plus. Construction contracts experience and Union experience helpful. In-depth understanding of how legal issues affect businesses. Strong oral and written communication skills. Excellent judgment and analytical skills. Ability to develop legal strategies and objectives.
