Assistant General Counsel, Real Estate & Corporate Operations Candidate will have primary responsibility for all corporate matters including litigation, employee relations, risk management, contracts, and entity formation and maintenance. Will serve in a highly visible capacity as the lead corporate and litigation counsel reporting to the General Counsel, Chief Compliance Officer. This role will have primary responsibility for all corporate matters including litigation, employee relations, risk management, contracts, and entity formation and maintenance. As the legal team is small and the company is fast-moving, should expect to handle a wide variety of issues, including negotiation and drafting of commercial agreements. Will support all areas of the firm and work directly with the members of senior management and each department including, Asset Management, Portfolio Management, Human Resources, and Accounting on a variety of operational and administrative matters. Will work closely with members of the Management Committee, Investment Committee, Operations Committee, and the Chairman & CEO in the operations and administration of the firm. Oversee legal issues related to insurance coverage disputes and resulting litigation. Negotiate and draft investment management agreements with new clients. Supervise firm activities to ensure compliance with existing investment agreements including legal oversight of periodic reporting to clients. Negotiate service contract terms and ensure continued compliance with contractual obligations with the firm’s key service providers. Manage ARA’s contracts including renewal versus termination decisions; responsible for legal input on the E&O/D&O insurance renewal and policy review. Provide strategic guidance on tenant default matters, including tenant bankruptcy, and to outside counsel seeking possession and monetary judgments. Oversee the selection of outside counsel and direction taken by counsel on asset- related matters. Negotiate engagement letters. Manage and monitor outside counsel scope of work, billings, and quality of legal services provided. Supervise ARA’s corporate formalities and outside counsel in the formation and maintenance in good standing of over 100 entities formed to hold title to real estate. Review authorizing resolutions for acquisitions, dispositions, loan transactions, and ensure timely dissolutions. Provide legal oversight of ongoing REIT compliance for several REITs under ARA’s management; oversee the formation of new REITs as needed. Offer guidance on employment law matters to ensure compliance with new and existing laws; oversee employee-related litigation. Assist with the training and education of the firm on certain issues outside of the area of Compliance. Assist senior leadership in the administration and operation of ARA, including the various segments of the firm’s real estate investments.
Qualification and Experience
Qualifications: JD Degree from a top-tier law school. A current member of the California State Bar. 8-15 years of experience in the legal field where responsibilities increased over time. Prior work experience with a major law firm and in an in-house legal team is preferred, particularly within a professional services environment. Skills: Possess strong drafting and negotiating skills. Unquestioned integrity. Proven ability to handle confidential information with discretion. Strong organizational skills that reflect the ability to perform and prioritize multiple tasks seamlessly with excellent attention to detail. Ability to build relationships with stakeholders, including staff, external partners, clients and other industry professionals. Excellent writing, spelling and grammar skills. Capable of proactive problem solving and sound decision-making. Highly resourceful team-player, with the ability to be independently effective. Adaptable to various competing demands and desire to demonstrate the highest level of responsiveness and client service. Forward-looking thinker who actively seeks opportunities and proposes solutions to current and future business needs.
