Senior Legal Specialist
The candidate will serve as an initial point of contact for global enterprise commercial transactions, providing day-to-day risk assessment, negotiation and drafting, and issue identification and escalation to supervising attorneys, as appropriate. Assist in resolution of supplier disputes. Draft, review, analyze and negotiate contracts and provide guidance on contract provisions and attendant risks, with escalation to supervising attorney as necessary. Contract types may include, without limitation, software license agreements, infrastructure as a service agreements, software as a services agreements, value added reseller agreements, business process outsourcing agreements, software development agreements, professional consulting services agreements, marketing services agreements, hotel and travel partner agreements, and other indirect procurement matters. Identifying, analyzing, researching, negotiating, and resolving legal and business issues in proposed contracts, and making appropriate recommendations to business and senior attorneys. Identifying and analyzing legal and business risk, considering the strategic importance of the contract, appropriately identifying required escalations, and assisting senior attorneys in escalations. Monitoring compliance with internal McKesson business and legal processes and policies. Preparing legal presentations for the senior attorneys, and presenting to business leaders, as applicable. Accurately and timely enter matter information into team reporting portal and produce reports as requested. Preparing contract summaries and/or issues lists for senior attorneys and/or business partners. Demonstrating comprehensive understanding of McKesson’s operating model and growth strategy. Proactively working with colleagues to identify regulatory issues, assess business impact risk and effectively communicate same to business partners. Working under supervision of supervising attorneys, and exercising independent judgment in escalating issues within broadly defined practices and policies.

Qualification and Experience

The candidate should have 2+ years related work experience (JD degree and Bar Admission required for Staff Counsel I) 2+ years of legal experience in a corporate legal department or law firm required. Must have 2+ years of experience reviewing and revising complex commercial contracts. Proficient in Office 365, including Word, Excel, Outlook, and OneNote. Prefer experience working in pharmaceutical, health information technology or other heavily regulated environment. Excellent contract drafting and verbal communication skills required. Experience working in a healthcare regulatory environment preferred, including Federal Anti-Kickback Laws. Experience working with technology business partners preferred.
