Corporate Counsel The candidate will provide a wide range of legal and compliance services to PAI and its affiliates. Will advise management and other business unit employees on legal issues, policies, and corporate governance; Assist management and other business unit employees in identifying and mitigating legal risks related to management decisions and operations; Draft, review and support the businesses in negotiating a variety of commercial agreements, including SaaS agreements, partner/channel agreements, software license agreements, service agreements, consulting agreements and other customer/vendor/marketing agreements, Create and update contract templates. Create and manage internal contract approval policies and procedures; Work closely with the PAI’s parent company and in-house and outside attorneys to drive collaboration across Japan and U.S.-based legal teams.Design and conduct periodic employee training seminars in conjunction with HR; Assist internal functions in the drafting and maintenance of corporate policies.Receives objectives, assignments and guidelines from this leadership team and exercises discretion in their implementation, maintaining confidentiality in all matters as directed.Leads by example and demonstrates a professional image at all times. Establishes a standard of ethical behavior within the company and consistently holds peers to act within company guidelines. Interacts with company leadership and with employees on a one-to one basis maintaining professional and productive relationships, including those business relations with external vendors, contractors, and guests of the organization. Should have 5+ years of relevant in-house or private practice/legal experience in the high tech industry with high tech issues and commercial contracts such as described above; experience in employment law and Intellectual Property law are desirable. Graduate of an accredited U.S. law school, and currently licensed to practice in California. Should have Understanding and experience with current labor laws, and legal interpretations of contracts and international regulations; demonstrated problem solving analysis and resolution at strategic and functional levels; sound judgement, flexibility, initiative and commitment to operating in an environment of rapid change.
