TEMP2PERM / FULLTIME: PH31119. Our client, an excellent and diversified company in the Plymouth Twp. area, seeks a temporary contracts and regulatory attorney. The attorney may come from a law firm or in-house, with at least 4 - 8 years of solid experience, particularly with contracts of all types. This position works with several contract directors and reports to a Deputy General Counsel/Chief Compliance Officer. RESPONSIBILITIES: Regulatory You would develop/assist in formalizing/improving our client's internal processes for promoting/ensuring compliance with laws, regulations and its own policies. You would help ID potential areas of regulatory vulnerability/risk; develop/implement actions plans to resolve problem issues, and; provide general guidance on avoiding or addressing similar future issues. You would develop/deliver employee training on compliance/regulatory matters and provide updates on regulatory developments to company leaders. Transactional You would use your own judgment/discretion to draft. review, interpret and negotiate a variety of contracts/legal documents, focusing on customer contracts for the client's various business lines. You would interpret contractual provisions, analyzing possible legal and business exposure, and ensure that our client's contract terms are followed. You would develop strategic responses to complex issues that involve regulatory requirements or contractual provisions and that arise out of our client's own client relationships. You would advise business contacts on compliance with the client's legal policies/procedures. You would participate in and/or lead in contract terms/conditions negotiations. You would assist in reviewing/developing company contract templates for the various business lines. You would assist in developing/maintaining policies/procedures/protocols to enhance the effectiveness/efficiency/consistency of executing commercial transactions. Overall You would perform other transactional/legal/regulatory duties as needed, including supporting possible M & A goals and objectives. Must be able to handle pressure and be mindful of time management. GENERAL QUALIFICATIONS You need to have strong verbal and written communication skills; be able to communicate effectively with all levels of employees including business and legal leaders within the organization, as well as with people outside of the organization such as external legal counsel, regulatory officials, consultants, vendors and customers. You need to have strong organizational, analytical and drafting skills, including attention to detail and a self-driven, problem-solving mindset. You need to be able to work well independently as well as effectively in a team.You need to possess high integrity, have a strong work ethic, be able to balance and prioritize multiple projects, and, work "full throttle" with accuracy and enthusiasm in a very busy legal department! Exposure to government contracting and international transactions is desirable, as is the ability to master laws related to HIPAA, ERISA, FCPA and other Federal Regulations. And, a strong background in data privacy/security is a PLUS! You should be licensed, active and in good-standing in Pennsylvania, with no record of discipline in ANY jurisdiction.
