Paralegal The candidate will be responsible for assisting in ongoing projects and tasks related to contracting, litigation, subpoenas or requests for production of documents, corporate governance, audits, analysis of laws and regulations, legal research, as well as assuming responsibility for several areas and projects in the legal department. Assist with drafting and modifying designated contracts as well as oversight of ongoing use, modification and amendment to such contracts, seeking input from attorneys as needed. Coordinate and track vendor contracting work within the department. Review specific questions and answers to Requests for Proposals, coordinate with lawyers as needed, and assist with oversight of appropriate disclosures in RFP database. Provide coordinated support and assistance for legal department projects, including State and Federal audits, and implementation of new federal and state managed care laws and regulations. Provide support for litigation matters and corporate transactions. Assist in responding to examinations or audits by regulators and accrediting agencies, as needed. Manage legal requests for data and documents for subpoenas, civil investigative demands and/or other requests for documents and information. Gather and organize materials and review with appropriate attorney prior to submitting. Independently maintain materials submitted and/or gathered in an organized fashion. Have a working knowledge of materials to provide updates on each investigation, and be able to respond to internal and external questions. Establish a strong relationship and network with other departments to quickly identify subject matter experts and repositories of knowledge and/or documents. Utilize electronic discovery system and other online tools. Summarize, analyze and assist in implementation of laws and regulations as needed, working closely with the Public Affairs Department. Communicate analysis and specific requirements of laws and regulations to attorneys and other affected areas of company upon request. Assist in responding to examinations by regulators and accrediting agencies, as needed. Perform legal research and prepare analysis of specific legal issues and questions. Review marketing materials and other external publications for legal and compliance issues, seeking input from attorneys as necessary, and provide guidance and input to internal clients. Track and maintain corporate documents. Prepare and/or review corporate filings. Assist with providing corporate information for Sales, Procurement (RFPs) and other departments upon request. Complete special projects as requested.
