ERISA/Benefits Attorney Duties: Assisting in benefit plan design and managing the drafting of plan documents and amendments as well as corporate approval for internal employee benefits and compensation programs. Advising on executive compensation arrangements, including employment agreements, post-employment consulting agreements, nonqualified deferred compensation plans, incentive compensation plans, severance agreements, retention agreements and change of control agreements. Preparing SEC executive compensation disclosures. Ensuring legal compliance of the company’s pension, 401(k), and health and welfare plans. Developing practical solutions to ensure benefits-related legal documentation and administrative procedures are compliant with ERISA and other applicable laws and regulations. Leading coordination with auditors, tax department, accounting department and legal counsel to ensure timely and accurate preparation of plan filings and reports required by governmental regulations. Drafting and reviewing employee communications and required participant disclosures, such as summary plan descriptions, summaries of benefits and coverage, COBRA notices, etc.. Supporting ERISA claims and appeals processes and responding to ERISA document requests. Identifying new, emerging regulatory compliance matters and methods for compliance. Driving continuous process improvements in all aspects of plan administration and management based on best practices. Researching and analyzing operational questions concerning employee benefit plan compliance (retirement, nonqualified deferred compensation, health and welfare, wellness programs, etc.) and specific employee questions and issues.
Qualification and Experience
Qualifications: JD Degree required. Licensed member of a relevant State Bar. 8+ years of relevant experience; in-house experience preferred. Expert knowledge and experience with ERISA, benefits compliance and related tax issues. Substantial knowledge and experience with COBRA, HIPPA, FMLA and PPACA as well as disclosure requirements under relevant securities laws. Excellent judgment, analytical, communication, diplomacy, legal research and writing skills. Appreciation for working as part of a team with a wide variety of roles and personalities in an in-house environment. Collaborative style with good interpersonal skills and ability to build relationships and engage effectively on cross-functional teams.
