ProfileLegal Counsel The candidate reviews transactions and related contracts, with a primary focus on hospital physician transactions. Educates hospital management and staff regarding regulatory requirements associated with hospital physician transactions. Provides legal advice to clients, working primarily with hospital management and staff. Drafts and revises a variety of legal documents, including contracts, license agreements, resolutions, legal opinions and escrow agreements. Performs legal research for senior attorneys within the department. Assists with due diligence and closings, and with the development of system policies and procedures. Coordinates and manages the efficient utilization of outside counsel. Reviews and directs the work of department staff. Performs other job-related duties as assigned. Must have Juris Doctor (JD) degree from an accredited law school. Licensed and in good standing in the State of California preferred. Must be Licensed to practice law. Should have experience in structuring and negotiating business transactions, performing due diligence, counseling clients, performing legal research, creating template contract documents, and drafting and revising a variety of legal documents including contracts, resolutions and legal opinions. Must preferably have 3+ years in a law firm or corporate legal department. Should preferably have 2 years in a law firm representing healthcare clients, or in a corporate legal department of a hospital, medical center, healthcare organization, or related industry, or a strong business and transactional background. Experience in a major law firm or in-house experience in a large, complex organization preferred.
