Corporate Paralegal (Officer) The candidate will support the corporate legal department and assist with preparation of public company Section 16 filings for directors and executive officers (Forms 3, 4 and 5), administer the company’s securities trading policy and prepare board and committee meeting minutes. Additional responsibilities include performing corporate secretarial functions, such as the preparation company certificates and director and executive officer questionnaires and reporting beneficial ownership of company shares in other SEC or Federal Reserve regulatory filings. Demonstrate a high level of integrity, enthusiasm and professionalism. Possess strong written and oral communication skills, strong interpersonal skills, and numeric acumen. Be able to meet deadlines and adjust priorities based upon client and department needs. Work independently with minimal supervision and multi-task with attention to detail. Demonstrate excellent time management, organizational and analytical skills. Foster relationships and positively interact with personnel at multiple levels within the organization. Effectively communicate the status of projects to appropriate persons in a timely manner. Possess computer proficiency including with respect to Microsoft Office products. 2-4 years of relevant corporate paralegal experience required. Direct experience with SEC and NYSE reporting obligations for public companies preferred, including Section 16 reporting requirements. Experience with Workiva a plus. Bachelor's degree and paralegal certification preferred.
