Job Overview

A leading law firm is seeking an experienced Mergers & Acquisitions Associate, Senior Attorney, or Of Counsel to join its M&A team. This position is based in Minneapolis but will primarily support the Delaware office. The ideal candidate will have at least five years of experience and be involved in a wide range of corporate and alternative entity transactions, including mergers, acquisitions, divestitures, corporate restructurings, strategic partnerships, and private equity investments. The role offers a dynamic and fast-paced work environment with opportunities to manage significant and complex deals.

Duties

  • Support and manage mergers, acquisitions, divestitures, and corporate restructurings
  • Assist with private equity transactions, strategic partnerships, and financing
  • Handle complex lending transactions and cross-border deals
  • Research and analyze transactional situations to provide legal counsel
  • Review general corporate matters, including contracts and corporate governance
  • Provide legal opinions related to general corporate and alternative entity matters
  • Manage multiple projects simultaneously in a fast-paced environment
  • Maintain strong relationships with clients, opposing counsel, and internal teams

Requirements

  • Minimum of 5 years of experience in corporate law, with a focus on mergers and acquisitions
  • Experience in the business/corporate group of a large law firm
  • Strong project management and organizational skills, with the ability to work under pressure and manage multiple deadlines
  • Exceptional communication and writing skills, particularly in client-facing situations
  • Ability to thrive in a collaborative and dynamic environment
  • Must be licensed to practice law in at least one state (Delaware Bar admission preferred, or ability to become admitted in Delaware)

Education

  • Juris Doctor (JD) from an ABA-accredited law school

Certifications

  • Admission to the Bar in at least one state; Delaware Bar admission preferred
