Legal Counsel / Legal Manager The candidate will provide hands-on expertise for legal and risk support to all departments of the business. Will work closely with the business worldwide and give high quality legal advice and assistance within the agreed time frame and manage complex legal issues. Analyze contracts and identify potential legal exposure and risks. Ensure that the business conducts its business with third party suppliers, customers, agents and others in accordance with Group guidelines and policies with regards to specific topics, sanctions and other related regulations and controls. Provide legal risk management support. Negotiate, draft, review and amend high level commercial agreements (agency, distribution, supply, private-public partnerships’, secrecy, letters of intent, construction type agreements). Provide appropriate templates of commercial agreements. Prepare and review the drafts of project documents to achieve the desired risk allocation position for the company including managing the review of negotiations of contracts and agreements specific to clients, subcontractors, installers and suppliers. Ensure compliance with contractual conditions and deal with various legal matters involved with the projects, to ensure smooth and successful project execution and operations. Support senior management on various project related legal matters on an on- going basis including in negotiations, execution and closing of all project documents. Coordinate with external agencies (attorneys and consultants) on legal aspects and project financing ensuring added value including enhanced performance and knowledge and minimizing potential risks and thereby costs. Support and work with the Project Managers in responding to various client requirements, ensuring the company's contractual, financial and reputation position is fully protected. Take Administrative lead on certain projects to ensure compliance and all risk areas addressed. Follow-up and steer international claims and court cases. Handle and steer the worldwide reporting system.
Qualification and Experience
The candidate should have a University degree in Law (Masters will be beneficial). Must have 5+ years of total experience including 1+ year in a law firm with ideally a current experience as legal counsel in the private sector with a good knowledge of commercial and construction laws. International commercial law experience is a requirement. Working with international legal consultants and directly. (Africa and Middle Eastern countries beneficial). Excellent command of English written and spoken with high level of written and oral communication skills essential.
