Key Responsibilities:

  • Represent technology companies in early and late-stage venture financings.
  • Advise clients on mergers and acquisitions, including due diligence, negotiation, and deal structuring.
  • Assist in the preparation and execution of private and public offerings.
  • Manage substantial components of transactions, ensuring thorough documentation and timely completion.
  • Collaborate with partners and senior associates on complex corporate and transactional matters.
  • Draft, review, and negotiate a wide range of transactional documents.
  • Provide strategic legal advice to clients on corporate governance, compliance, and other business-related legal issues.
  • Conduct legal research and stay updated on relevant laws and regulations affecting the technology sector.
  • Participate in business development efforts, including client meetings and presentations.

Requirements:

  • Experience in corporate law, with a focus on representing technology companies.
  • Proven ability to manage significant components of transactions independently.
  • Strong background in venture financings, mergers and acquisitions, and securities offerings.
  • Excellent drafting, negotiation, and communication skills.
  • Demonstrated ability to work effectively in a team-oriented environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar or eligibility to obtain admission promptly.
