A law firm seeks a Technology & Outsourcing Associate to join their team in Los Angeles. This position offers an exciting opportunity for an attorney with 3-5 years of experience in technology transactions, with a strong emphasis on intellectual property (IP) licensing and business process outsourcing agreements. The successful candidate will work closely with top-tier clients in the tech, financial, telecommunications, and life sciences sectors, providing legal guidance on complex technology and outsourcing matters.

Duties:

  • Draft, negotiate, and structure complex technology agreements, including IP licensing, SaaS, hardware and maintenance, distribution, professional services, and marketing agreements
  • Advise clients on legal issues related to licensing, distribution agreements, privacy, data security, and AI
  • Provide legal counsel on emerging trends in technology, financial services, telecommunications, healthcare, and life sciences industries
  • Collaborate with corporate and IP teams to integrate technology considerations into mergers and acquisitions
  • Conduct in-depth legal analyses and risk assessments, identifying potential legal issues and offering proactive solutions
  • Contribute to the development and refinement of standard agreements, templates, and playbooks for clients
  • Manage multiple, complex legal matters and interact with clients, legal teams, and business units to achieve desired outcomes
  • Keep abreast of new regulatory changes and ensure compliance with relevant laws and policies

Requirements:

  • 3-5 years of experience in technology transactions, with a focus on IP licensing, business process outsourcing, and related agreements
  • Experience handling SaaS agreements, global purchase agreements, distribution agreements, professional services agreements, and marketing agreements
  • In-house or law firm experience, with a particular focus on the technology sector or M&A transactions
  • Ability to manage multiple complex matters in a collaborative, fast-paced environment
  • Strong academic credentials and exceptional written, oral, and interpersonal communication skills
  • Familiarity with emerging technology trends, privacy laws, and regulatory requirements
  • California Bar membership required

Education:

  • . from an accredited law school
  • Strong academic background with a focus on technology law or related fields

Certifications:

  • Must be admitted to the California State Bar

Skills:

  • Expertise in drafting and negotiating technology agreements, including licensing, SaaS, and outsourcing contracts
  • Solid understanding of intellectual property law, data privacy, and emerging technologies
  • Excellent legal research, writing, and drafting skills
