Paralegal The candidate will maintain corporate books, registrations and filing fees for the Company and its national and international subsidiaries, with support of counsel. Will distribute service of process to appropriate internal personnel and track for follow up. Assist General Counsel with preparation of audit letters, litigation and reserve reports, ethics compliance logs, and contract logs. Assist counsel in collecting facts, personnel records, correspondence and other documents in defense of administrative claims and litigation. Track and monitor litigation. Coordinate the drafting, distribution, execution and tracking of corporate contracts. Manage and document financial and other disclosures provided to franchisees and prospective franchisees. Review and manage sale contracts, leases, SNDA’s, settlement statements and other closing documents prepared by outside attorneys and brokers. Track real estate transactions and monitor due diligence and inspection deadlines. Place orders for title; preliminary review of title. Assist counsel with special projects as needed (e.g., sale or acquisition of restaurants, corporate refinance, employment matters, contract disputes; formation of new subsidiaries). Interact and serve as liaison with franchisees, outside counsel and all Company departments. Prepare professional written communications on behalf of counsel. Demonstrate excellent oral and written communication skills with internal and external contacts. Perform other duties as assigned in response to changing business conditions and/or requirements.
Qualification and Experience
The candidate should possess a BA/BS degree or paralegal certification, and 6+ years of paralegal experience in a variety of areas. Should have proven experience in supporting corporate governance and business transactions. Must be proficient in MS Office Suite (Word / Excel / PowerPoint / Outlook). Knowledge of law, business, real estate, litigation and contracts is preferred. Must have strong work ethic and the ability to maintain a high level of confidentiality to ensure proper handling of sensitive information.
