Corporate and Fiduciary Counsel The candidate will provide providing in-house legal support in connection with fiduciary matters arising within Wealth Management (WM), particularly within Personal Trust and Institutional Trust. Will provide legal support to WM leadership and staff with respect to legal and regulatory requirements, including those arising under federal and state trust and fiduciary laws. Support the legal needs of the Personal Trust and Institutional Trust departments. Interpret regulations regarding fiduciary services by banks, federal and state trust laws and other relevant laws as they relate to the provision of fiduciary administration and investment services. Follow proposed and new legislation to assess potential impact to areas that the attorney supports and apprise management of such legislation. Assist WM business line managers in analyzing and managing fiduciary legal risks. Lead, coordinate and/or support legal initiatives as required. Provide in-house legal support for WM regulatory examinations, internal audits and self-testing. Handle fiduciary matters involving federal and state regulatory agencies in conjunction with the WM compliance teams. Draft and negotiate trust alliances, customer agreements and vendor contracts. Engage and oversee outside counsel as required. Assess fiduciary-related litigation. Serve as recording secretary or assistant secretary for various affiliated entities and internal committees. Review and revise WM marketing materials for legal compliance. Must have Law degree (admitted to State Bar of Michigan or eligible for admission through waiver). Bachelor's degree from an accredited university. Should have 5 years of experience in handling matters under federal and state trust and fiduciary laws.
