A law firm seeks a skilled associate to join its Corporate M&A/Private Equity group in Los Angeles. This position offers the opportunity to work on a variety of high-profile corporate transactions, including mergers, acquisitions, and private equity deals. The ideal candidate will have 3-6 years of corporate law experience and will thrive in a fast-paced, collaborative environment. The role provides a chance to handle complex transactions and gain exposure to a broad range of industries.

Duties:

  • Represent clients in mergers, acquisitions, and private equity transactions.
  • Provide strategic legal counsel on corporate governance, structuring, and operational matters.
  • Draft and negotiate various agreements related to M&A and private equity deals, including purchase agreements, financing agreements, and shareholder agreements.
  • Assist in due diligence processes, identifying potential risks and liabilities.
  • Work closely with clients to develop transaction strategies and deliver tailored legal solutions.
  • Collaborate with partners and other teams within the firm to ensure seamless execution of deals.
  • Manage multiple transactions simultaneously, meeting deadlines and client expectations.

Requirements:

  • 3-6 years of corporate law experience, with a focus on mergers and acquisitions or private equity transactions.
  • Strong track record in drafting and negotiating complex corporate agreements.
  • Ability to work in a fast-paced environment and manage multiple projects simultaneously.
  • Proven experience in conducting legal due diligence and identifying potential risks.
  • Strong client management and communication skills, with an ability to foster long-term relationships.
  • Experience in handling matters related to private equity, corporate governance, and deal structuring.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic performance and a foundation in corporate law.

Certifications:

  • Admission to the California State Bar or eligibility to be admitted to the bar.

Skills:

  • Expertise in corporate transactions, mergers and acquisitions, and private equity law.
  • Excellent drafting and negotiation skills.
  • Strong legal research and analytical abilities.
  • Excellent communication skills, with the ability to present complex ideas clearly to clients and colleagues.
