Senior Investments Assistant General Counsel Responsibilities: Advise on all matters relating to the day-to-day operation of Mercerâ€™s North American investment consulting and manager-of-managers businesses, including with respect to US registered investment companies, Canadian pooled funds, US bank-maintained collective investment funds, and US- and Cayman-based hedge and private markets funds of funds; Advise senior management on critical legal, regulatory, and business risks; Counsel senior management on fund structure and design, governance, disclosures, regulatory obligations, cross-border placement activities, and investment operations matters; Draft and negotiate complex investment advisory and investment management agreements with institutional investor clients; Manage regulatory relationships with the Securities and Exchange Commission, Department of Labor, Ontario Securities Commission, and other US and Canadian regulatory agencies; Lead the North American Investments Legal & Compliance team; Exhibit strong written and oral communications skills; Demonstrate strong project management skills and continually search for a smarter way to meet the teamâ€™s responsibilities; Lead by example; Promote an ethical culture where employees are encouraged to voice their concerns and opinions; Demonstrate the ability to hold superiors and managers accountable for creating a culture of integrity; and Above all, exhibit sound judgment.
Qualification and Experience
The candidate should have 7+ years at a law firm or an in-house corporate legal group, preferably both; Deep knowledge of US Investment Advisers Act and Investment Company Act and experience with ERISA and Commodity Exchange Act matters; and Qualification and license to practice law as per local statutes, rules and regulations.
