Global Licensing Attorney The candidate will be responsible for: Leading on all legal matters involving Partnering transactions, starting with the initial confidentiality agreement, giving input on term sheets, conducting due diligence of contractual matters, handling the transaction agreements and continuing legal support for the partnership even after deal-signing; Structuring, drafting and negotiating in an independent manner as part of a Partnering team: in-licensing and out-licensing of patents and know-how, including drug development and technology collaborations with both private and public entities; confidentiality and testing agreements; Providing functional support in strategic alliances, mergers and acquisitions; Partnering with representatives of other departments on transactions; Advising on complex and substantive issues in support of collaborations with outside partners; Contributing to cross-functional or departmental projects and teams. Should preferably have 5+ years in a law firm, in-house, and/or government agency directly leading legal work for complex transactions in the pharmaceutical, biotechnology or related life science industry and 5+ years of licensing or mergers/acquisitions in the pharmaceutical, biotechnology or life science industry. Should have JD degree with Bar admission. Life sciences undergraduate/graduate degree is essential. Should have experience dealing with personal healthcare and privacy issues. Admission to the US Patent Bar is a plus.
