POSITION SUMMARY:

 

Acting under the direction and supervision of the Associate General Counsel, provides general paralegal functions in support of the contracting and transaction functions and responsibilities of the Associate General Counsel, as well as in support of the more general legal needs of the WVU Health System (WVUHS) Legal Services Department.

 

MINIMUM QUALIFICATIONS:

EDUCATION, CERTIFICATION, AND/OR LICENSURE:

1.

Bachelor’s Degree OR High school diploma or Equivalent AND Four years of high level administrative and transactional experience in a law firm or healthcare organization.

 

 

PREFERRED QUALIFICATIONS:

EDUCATION, CERTIFICATION, AND/OR LICENSURE:

1.

Paralegal certificate from an accredited organization.

EXPERIENCE:

1.

Three Years’ experience related to transactional or similar project management roles.

2.

Three Years’ experience with healthcare related laws and regulations such as Stark, fraud and abuse and similar laws is preferred.

3.

Three Years’ experience related to drafting, reviewing and negotiating contracts, leases, employee agreements, memoranda of understanding, non-disclosure agreements, intellectual property instruments, and other forms of commercial contracting instruments preferred.

4.

Three Years’ Experience in a private law firm, governmental agency legal department, or in house legal department preferred.

 

 

CORE DUTIES AND RESPONSIBILITIES: The statements described here are intended to describe the general nature of work being performed by people assigned to this position. 1.

Performs project management functions for acquisitions, joint ventures, integration of physicians and/or physician practices, real estate transactions, physician services, and various other transactions.

2.

Assists Associate General Counsel with the implementation of acquisitions, joint ventures, integration of physicians and/or physician practices, real estate transactions, physician contracting, and various other transactions.

3.

Interacts and communicates effectively with all WVUHS departments including, but not limited to, Information Services, Procurement, Facilities, Compliance, Risk Management, Finance, Human Resources, Third-Party Payor Contracting, and Legal Services.

4.

Manages transaction closings and physician and/or practice transitions to meet deadlines as agreed upon per contractual relationship.

5.

Maintains direct communication with leadership and administrators to ensure timely and efficient transition of the acquired assets or services to be provided into the applicable department and organization.

6.

Maintains direct communication with WVUHS leadership and administrators to ensure timely and efficient closing of various transactions.

7.

Assists Associate General Counsel with coordinating monthly transaction status and strategy meetings, which includes coordination of agenda, financial information, operational information, and strategic information.

8.

Ensures final documentation is sent to external clients and internal departments in regards to acquisitions, employment, and/or other various transactions (i.e., legal, accounting, practice management).

9.

Assists Associate General Counsel with effective and timely communication to the leadership team as to the weekly status of practice transitions and other transactions.

10.

Maintains compliance with internal policies and external regulatory guidelines, such as HIPAA Stark, and Fraud and Abuse.

11.

Interfaces diplomatically with internal and external individuals to expedite services and facilitate requests.

12.

Reviews contract terms and conditions to prepare, populate, and update transaction checklists, as necessary.

13.

Shows proficiency with summarizing contract language and project management systems to organize numerous ongoing projects.

14.

Conveys information to the proper parties in the organization about any new contracts or revisions thereto.

15.

Prepares and reviews form contracts.

16.

Assists in populating and maintaining the legal Department’s contracts management system.

17.

Supports the Legal Services Department in all matters; provides support to other counsel and staff within the Legal Services Department as needed.

18.

Ensures that transaction files are complete and ready to be closed out; manages close out of completed transaction files.

19.

Assists Associate General Counsel with various aspects of due diligence on certain transactions.

20.

Participates in continuing education activities to develop and maintain professional expertise.

21.

Works weekends and evenings on occasion as may reasonably be required in order to fulfill obligations

22.

Promotes and contributes positively to the team work of the Legal Services Department by volunteering to assist co-workers, contributing ideas and problem-solving with co-workers as observed by Associate General Counsel.

23.

Participates in planning and implementing change and maintaining and improving productivity through attendance and participation in staff meetings and discussions with Associate General Counsel.

SKILLS AND ABILITIES:

1.

Good grammatical skills and ability to proofread and edit documents.

2.

Ability to organize and manage numerous projects.

3.

Proficiency in reading and writing legal documents

4.

Good verbal and written communication skills.

5.

Ability to analyze contracting documents and assess their compliance with internal policies and state and federal laws and regulations.

6.

Experience with Microsoft Office suite and ability to use various computer programs, including, but not limited to Microsoft Word, Microsoft Excel, and Microsoft Outlook.
