Corporate Paralegal - Private Investment Funds Duties: The candidate will assist attorneys and paralegals in the Private Investment Funds group. Take a lead role in transactions, tracking and obtaining pre-and post-closing documents and formalities to assure performance of obligations; manages mid and entry-level paralegals in large or complex closings. Support with fund formation. Review and evaluate subscription agreements and side letters. Manage and maintain the internal database of investor information. Assist with entity formation by drafting corporate organizational documents, assisting with corporate records maintenance, and preparing foreign qualifications, dissolutions and withdrawals. Draft additional documents under attorney supervision (bylaws, corporate resolutions, officers' and stocks certificates, and collateral receipt letters). Proofread and revise transaction documents (Private Placement Memorandum, Operating Agreement, Limited Partnership Agreement). Manage KYC/AML process for underlying investments, including redacting documents and working with various administrators to furnish requested documents; Distribute documentation to clients and to outside parties. Create a closing checklist and draft signature pages while assisting with the preparation of agreements, schedules, and exhibits. Prepare closing files and assist with the closing. Compile executed documents and save onto internal system. Organize and distribute originally executed agreements to the client. Gather and index documents for the preparation of closing binder and distribute closing binders. Actively mentor more junior paralegals and attorneys; recognizes different learning styles and adjusts method of instruction accordingly when supervising on projects; confirms comprehension by others of instruction. Perform other work-related duties as assigned by other corporate paralegals and other individuals within the corporate management structure. Serve as a resource, facilitator, and mentor in order to effectively support the needs of the department.
Qualification and ExperienceQualifications: The candidate should have a Bachelor's Degree. Must have 2+ years of experience as a paralegal supporting corporate matters. Must be a demonstrated self-starter who is both highly organized and a team player. Must demonstrate the ability to maintain strict confidentiality of the firm's internal and personnel affairs. Able to interact and collaborate effectively with all levels of personnel, including management staff and support staff. Possesses strong oral and written communication skills. Able to successfully manage and lead a team. Able to be a proactive self-starter, who understands the details within a much larger context. Must be flexible and able to respond quickly and positively to shifting demands and opportunities. Able to work under tight deadlines and handle multiple, detailed tasks. Must be able to anticipate problems and issues and exercise independent judgment to make sound, justifiable decisions and take action in solving problems while knowing when and to whom to escalate issues. Must be team-oriented and able to share information, goals, opportunities, successes, and failures with the appropriate parties. Able to influence at all levels of the organization. Possess excellent attention to detail and follows up and follows through on deliverables. Own professional development by actively seeking out feedback and learning new skills. Takes ownership of deliverables and is accountable. Able to maintain a professional demeanor in all situations. Able to effectively work in a multi-office environment and a culturally and educationally diverse environment. Able to travel nationally and internationally on short notice.
