Ecosystems Counsel Manager The candidate will support matters within the scope of the Strategic Partnering legal team (aka Alliances), which is part of the Ecosystems legal group. Will draft and negotiate agreements and interact with business management on a regular basis. Become a subject matter expert regarding alliances and go-to-market matters and advise various business groups and other legal professionals accordingly. Draft and negotiate various agreements, including master alliance agreements, software/supplier licenses, data processing agreements, non-disclosure agreements, platform agreements (IaaS, PaaS and SaaS), teaming agreements, ordering documents and agreements, master subcontracts, sponsorship agreements, and various other documents. Provide general legal support to the Ecosystem and Ventures business group. Coordinate with fellow members of the Ecosystems legal group (e.g. Resale and Sourcing). Support and provide subject matter guidance to other legal teams regarding go-to-market solutions with partners, including master agreement requirements, license / use rights and requirements, policy compliance, and other support relating to the firm's partners and joint solutions with them. Aid in the development of training and knowledge transfer tools and materials. Mentor and help train junior members of the team, including GLN team members. Support the firm's compliance with all applicable policies, audits, laws and regulations.
Qualification and Experience
The candidate should have a J.D. degree from an accredited law school. Significant experience drafting and negotiating contracts in a corporate or large law firm setting is required. Experience with emerging technologies and offerings (e.g. digital, cloud, security, AI, blockchain) and related contracts is preferred. Experience with alliances or other strategic relationships is beneficial. Should have sound understanding of intellectual property rights and obligations and the ability to competently draft and negotiate intellectual property provisions. Experience drafting and negotiating inbound and outbound software licenses is essential.
