ProfileContract Paralegal The candidate manages document creation and the administration process for company including legal contracts, agreements, and amendments. Prepares contracts and supporting legal documents or correspondence leading to finalizing contracts (contract execution) in conjunction with company’s General Counsel and/or external legal firm. Performs review and analysis of legal contracts and other agreements/amendments to ensure compliance with specifications, organizational policy, and if necessary, specific regulations. Coordinates efforts with other departments (product, sales, national accounts, finance) to facilitate the process from proposal creation to contract execution. Tracks related activities, archives all documents, and maintains related files. Reviews and analyzes documents to determine contractual obligations and communicates across departments (product, sales, national accounts, finance) regarding the terms of the contract, as necessary, to complete a thorough review. Coordinates interactive review and approval by external legal counsel used by company prior to completion of certain documents. Circulates contracts for review by interested parties (e.g., by product, VP, legal team) and provides final mark-up copy to department head for final action. Maintains contract database which includes indexing and adding newly executed documents, and generating quarterly reports to monitor upcoming action necessary based on provisions included in executed contracts (includes providing advance notice to internal teams regarding contracts due for expiration or renewal). Maintains standard master copy (i.e., boilerplate) of various documents and agreements, as well as exhibits that accompany agreements -and- maintains directory of up-to-date, preferred contract language. Maintains and archives approved versions of core subscription terms and conditions.
Qualification and Experience
An associate degree from an accredited college required any emphasis on contract law or review, preferred; undergraduate degree (focus on law) also preferred. In the absence of the associate degree, directly-related job experience in document review and attention to document details, where a number of years and proven knowledge may offset the degree requirement. In addition to the education outlined above, at least 4 years of progressively responsible experience, demonstrating knowledge of process applicable to contractual agreements between corporations. Enhanced educational background will be considered if experience is less than 3 years. Must function well as both a team player and individually when coordinating efforts cross-functionally to get to final contract copy; ability to interact at all levels within the organization. Should have excellent time management, communication, and organizational skills. Must have ability to quickly assimilate oral and written data to analyze facts and draw logical conclusions, using judgment, tact and discretion. Should have advanced recordkeeping, organizational, and follow-up to assure company is aware of all contracts’ status at all times.
