Job Overview
A prestigious law firm is seeking an experienced Business / Corporate Attorney with 5+ years of relevant experience to join a market-leading Corporate practice. The ideal candidate will demonstrate ambition and initiative, with the ability to assist clients on a broad range of complex business and corporate matters, including advising on corporate governance, entity formation, financing strategies, and M&A transactions. The firm provides a collegial office environment with opportunities to work on sophisticated matters at regional, national, and international levels.

Location

Duties

  • Advise clients on general corporate governance, LLC, and partnership matters.
  • Provide counsel on entity formation, operating agreements, partnership agreements, and stockholder agreements.
  • Advise clients on debt and equity financing strategies and assist with funding transactions.
  • Provide legal advice in M&A and other strategic transactions.
  • Draft and review commercial contracts.
  • Serve as outside general counsel for businesses of varying sizes and industries.
  • Interact directly with company executives, founders, and in-house counsel.

Requirements

  • 5+ years of relevant experience in business and corporate law.
  • Ability to handle sophisticated legal matters with a focus on corporate governance, financing, M&A, and commercial contracts.
  • NC Bar admission preferred, or the ability to waive into the NC Bar.
  • Outstanding academic credentials from an accredited law school.
  • Excellent written, analytical, and verbal communication skills.

Education

  • Juris Doctor (.) from an accredited law school.
  • Strong academic performance in both undergraduate and law school programs.

Certifications

  • NC Bar admission preferred, or ability to waive in.

Skills

  • Strong legal research, writing, and drafting abilities.
  • Excellent interpersonal and communication skills for client and executive interactions.
  • Ability to work independently as well as collaboratively in a team environment.
  • Knowledge of corporate governance, financing, M&A, and commercial contracts.
