Corporate Paralegal Qualifications: Handle Banner Corporation and Banner Bank securities filings, public company reporting, corporate governance matters, and merger and acquisition activity. Assist with federal and state filings and searches (U.S. Securities and Exchange Commission, Secretaries of State and others). Assist with preparation and filing of SEC filings (e.g., Forms 8-K, 10-Q, 10-K; Proxy Statement). Assist with proxy statement process, including preparing, collecting and reviewing D&O proxy questionnaires. Under the supervision of the Corporate Secretary, assemble agendas, provide notices to the Boards of Directors, and assemble Board and Committee books using Diligent platform. Draft routine board resolutions and work with Directors on these matters. Work with senior management regarding their communications with, and reports to, the Board and Committees. Establish and maintain strong working relationships with other internal functional groups, i.e. Risk, Accounting, Finance, HR, Treasury, Legal, the Executive Management Committee and CEO. Serve as Acting Secretary (as needed) for the Board of Directors and various Board Committees, including working with Directors on review and finalization of minutes as needed. Thoroughly proofread and edit various corporate documents and correspondence. Ensure best practices Board cadence and corporate governance for Banner Corporation and its subsidiaries. Assist as needed on merger and acquisition and similar strategic transactions. Assist with the organization and maintenance of corporate closing and electronic data rooms.
Qualification and Experience
QUALIFICATIONS: Bachelor’s degree or equivalent combination of education and experience required. Paralegal Certification preferred. 4+ years of experience, including paralegal support for Board of Directors, corporate securities and SEC filings, and corporate governance and maintenance required. Previous corporate paralegal experience with a public company, either in-house or in a law firm environment, is required. Experience working in both corporate and a law firm preferred. Proficiency in Word, Excel and PowerPoint required. SEC reporting and annual meeting process experience required. Working knowledge of Section 16 reporting requirements and trading plans preferred. Familiarity with public company corporate governance. Excellent verbal and written communication skills. Ability to multitask. Strong organizational skills with excellent attention to detail. Strong interpersonal skills with a track record of establishing strong working relationships. Ability to set priorities and exercise independent judgment and problem solving. Ability to be flexible with change. Capacity to work under pressure with tight deadlines.
