Corporate Paralegal The candidate will be supporting role in transaction management, including financings, mergers/acquisitions, initial public offerings and year end matters. Must be preparing draft documentation for filings with the Secretary of State, Department of Corporations, and other state or federal government agencies, including Articles of Incorporation, notices of sales of securities, and qualifications to do business. Performing basic private company stock plan administration mechanics, including drafting stock purchase or stock option agreements, preparing regular Rule 701 compliance reports and maintenance of stock plan records in firm database. Preparing and maintaining detailed stock ledgers, including stock ledgers for venture financed companies with multiple series of preferred stock. Conducting blue sky and other corporate legal research. Preparing and managing corporate and securities filings. Possessing a basic understanding of and assisting with shareholder, director, investor and other client mailings with the guidance of attorney and/or senior paralegal. Will be preparing closing volumes, including index, document assembly, binding and final distribution. Performing routine document preparation, including incorporation documents, board and shareholder actions, non-disclosure agreements, indemnification agreements and stock certificates. Should posses 5-7 years of corporate paralegal experience. Will have working knowledge of general corporate work, including incorporations, document drafting, preparation of filings, and creation and maintenance of client records. Proficient in the organization of client records and maintaining corporate files including basic minute book and client file organization. Bachelor s degree or Paralegal Certificate is preferred.
