Paralegal / Legal Assistant The candidate will assist attorneys to prepare integral corporate documents/materials. Will work with lawyers to prepare all documents required to form and maintain corporations, partnerships and limited liability companies multiple international jurisdictions. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Create and maintain corporate minute books. Prepare initial drafts of minutes of board and committee meetings. Work directly with attorneys and clients during closings and corporate transactions, including preparation of checklists and management of document exchange. Ownership and internalization of deadlines is vital. Preparing, reviewing, and revising complex legal agreements at the direction of attorneys in connection with transactions, including non-disclosure agreements, asset purchase agreements, intercompany service agreements, management services agreements, contribution agreements, distributions, loans, and leases. Review and administer outside counsel legal invoices. Assist with SEC Filings, including Section 16 filings and Form 8-Ks. Work directly with lawyers to prepare SEC filings with regard to securities offerings and respond to the requirements of the Securities Acts of 1933 and 1934 filings. Upload Board materials to Diligent Boardbook platform. Set up and populate data rooms for transactions. Research and track disclosure of risk factors within SEC filings of peers and present to lawyers for their review. Assist in preparation, data collection, confirmation of disclosure and audit of proxy statement. Prepare and manage UK Companies House filings (e.g. upon issuance of new shares, appointment of officers/directors, etc.). Must have a bachelor’s degree in an area of specialty. Should have 7-10 years of experience in the field or related area. EDGAR research and Power Point skills are a plus. Familiarity with Diligent Boardbooks is preffered. Should be proficient in Microsoft Office product. Should be familiar with a variety of the field’s concepts, practices, and procedures.
