Profile

Junior Paralegal (Corporate - Investment Funds) Duties: Under the supervision and direction of a Paralegal, helps to manage and organize the materials and information relating to particular matters and transactions. These duties allow them the opportunity to work with and assist our legal staff with due diligence, pre-closing, closing and post-closing tasks. Provide legal and administrative support to Paralegals and Attorneys in the Corporate Department. Assist with all closing matters: Attend to closing materials such as distribution of documents, preparation and organization of documents and preparation of signature packets, preparation and organization of materials for shipment, preparation of indexes and labels, stock certificates and legends, deliver and pick up documents to and from various clients and law firms. In preparation for a closing: fill out foreign qualification applications, apply for Employer Identification Numbers from the IRS; prepare stock certificates and update ledgers. Keep track of all relevant documents and signature pages for the Attorneys and/or Paralegals; compile consents and secretary certificates. Prepare and complete UCC search requests and compile information into lien summaries; prepare UCC termination statements. General Corporate Housekeeping, e.g. maintenance of corporate minute books, franchise tax filings, data base updates for subscription booklets. Proofread, duplicate and scan documents to PDF and save to DMS. Conduct research on Westlaw, the internet, and other databases. Perform clerical tasks as needed, e.g. make copies, create folder labels, prepare packages, write generic cover memos, etc.

Qualification and Experience

Requirements: Bachelor’s degree and a strong interest in the legal profession and corporate law. Excellent communication skills are necessary with the ability to interact professionally with staff, attorneys, legal assistants, clients and vendors. Able to work independently as well as with a team, have an acute attention to detail and be able to multi-task and prioritize while working in a high pressure, deadline-driven environment. Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, and a Document Management System.
