Corporate - General

Corporate & Commercial Counsel Duties: Provide counseling and transactional support to Corporate functions. Lead corporate governance management for corporate legal entities (including drafting minutes and resolutions, managing intercompany loan documentation and overseeing local and State filings). Assist with the maintenance of Harman’s code of conduct and other compliance policies and procedures. Provide direct support to the General Counsel, on day to day ad-hoc matters. Serve as the primary legal point of contact supporting third-party/vendor due diligence processes and procedures. Provide management and support to the various Company offices and facilities to implement, document and communicate processes on how to manage onsite and offsite storage of Company documentation and set destruction dates pursuant to the Company’s retention policy. Collaborate with other legal team members to monitor and analyze ongoing legal climate to ensure continued company compliance with all applicable laws, including the Foreign Corrupt Practices Act and other anti-bribery statutes, US export control laws, the Conflict Minerals Rule, and the California Transparency in Supply Chains Act; Provide management and oversight support to the Corporate Insurance function, including the annual corporate insurance review, best practices and new insurance products, and supporting global claims and internal inquiries.
Qualification and Experience
Qualifications: Law degree from a reputable law school in the United States. Admission to Connecticut Bar or the ability to be admitted as an Authorized House Counsel, with no prior adverse disciplinary action. 5-7 years of related experience, preferably in a combination of well-regarded law firm and corporate setting. Exceptional communication skills (verbal and written) with the ability to liaise with all areas of the business at all levels, including senior management. Excellent organizational skills and attention to detail. Ability to work independently and take ownership of projects. Ability to prioritize multiple tasks and respond promptly to shifting priorities. Nice to Have: Experience managing or supporting corporate compliance programs and policies. Familiarity with corporate insurance products and risk management practices. Knowledge of international transactions. Prior staff management experience. Commercial acumen to forge close working relationships with individuals from all aspects of the business.
