Corporate Real Estate Paralegal The candidate will handle all corporate and real estate matters. Ideal candidates will have demonstrated experience drafting correspondence and notices, performing research on case law and drafting corporate real estate and financial documents. Prepare all documents required to form, merge and dissolve corporations, partnerships and limited liability companies including corporate resolutions and corporate certifications. Maintain corporate governance database tracking all closing dates, documents and corporate transactions. Prepare board of directors meeting notice, agenda, minutes, committee reports and outstanding items for review. Prepare and file domestic and foreign state registrations, qualifications, withdrawals and dissolutions. Create and maintain corporate minute books, corporate entity database, organizational charts, stock ledgers, closing binders and associated indices for various entities. Assist with the issuance of stock and share certificates. Review and process share redemption requests. Assist in closing preparation and post-closing transactional documentation. Order, review and file UCC Financing Statements and judgment searches. Obtain Employer Identification Number for newly formed entities. Conduct extensive legal research on corporate matters. Order, review and file title reports, surveys, settlement statements, lien searches, and exceptions documents. Draft and review contracts, deeds, leases, purchase and sale agreements, estoppels and SNDA’s. Collaborate with title insurance agencies and outside counsel to coordinate title searches and clearances and resolve any issues prior to extending commercial loan title policy . Obtain and review UCC reports and assist in resolution of security interest issues including amendment and termination. Handle preparation and maintenance of closing checklists. Draft and assemble closing documents and prepare closing binders. Review closing documents for accuracy regarding prorated taxes, closing costs and settlement costs. Maintain files, databases, and records for owned and leased real estate. Conduct extensive research for real estate property records. Bachelor's degree or Associates with a Paralegal Certificate and 3-5 years paralegal experience required. Experience with both Corporate Formations and Real Estate matters required. Proficiency in Microsoft Word, Excel and Outlook required.
