Senior Counsel – Integrated Supply Chain and Operations The candidate will draft, negotiate, review and provide legal guidance on various commercial agreements, including Contracts for the purchase of IT and corporate services (including master service agreements, statement of works, license agreements, Software-as-a-Service agreements, and subscription agreements), EPC agreements, maintenance agreements and other labor-related contracts, Logistics & warehousing (including terminal agreements), Raw material purchase agreements, Site access agreements, Confidentiality agreements, and Consulting agreements. Provide legal advice to members of the company's management and operations teams on legal issues associated with the Integrated Supply Chain team of Olin’s U.S. chemicals businesses. Support optimization projects relative to supply chain, information technology, and other shared services. Partner with and establish strong working relationships with the Procurement team as well as senior Integrated Supply Chain leadership to facilitate Integrated Supply Chain business goals and objectives. Work closely also with IT leadership, in particular the IT business and strategy and vendor management leadership. Develop with the clients a better understanding of corporate policies and procedures and adherence to the same. Analyze and advise on contentious supplier matters early in their development to determine if they can be resolved without formal legal proceedings. Work with Integrated Supply Chain stakeholders to resolve such commercial disputes to the company’s benefit. Educate and train clients on relevant legal issues, including certain Olin Law Department contracting principles and positions. Collaborate with other members of the Olin Law Department to ensure a consistent contracting approach to share best practices.
Qualification and ExperienceThe candidate should have a JD/LLM from an ABA-accredited law school. Licensed to practice law in at least one state. Should have 7+ years of relevant legal experience with a major law firm and preferably a corporation handling commercial and/or IT contracts. Familiarity with data privacy laws and regulations relevant to a company operating on a global basis. Strong commercial and business law background required, preferably within the chemical and manufacturing industry and the supply chain function. Experience in logistics, including truck, rail, barge, and marine, or international transactions and business a plus. Willingness and ability to travel, mainly in the U.S. but also as needed internationally, collectively up to 10%. Outstanding negotiation and communication skills (written and oral). Ability to deal efficiently with time-sensitive demands from a variety of clients. Focus on continuous improvements without losing sight of client demands. Working well under pressure, effectively handling conflict, and demonstrating flexibility in work style to accommodate changing priorities. Ability to learn new technical areas to better inform legal analysis. Team orientation, legal technology savvy, and bias toward action are critical. Ability to interact with all levels of management.
