A law firm seeks an experienced Principal Attorney with expertise in fund formation to join its Business Practice Group in Spokane, WA. This role provides an opportunity to work closely with a diverse range of clients on intricate fund-related matters across various industry sectors. The candidate will collaborate regularly with attorneys from multiple practice areas.

Duties

  • Lead the formation of private investment funds, including venture funds, incubators, accelerators, private equity funds, and crypto venture funds.
  • Draft and negotiate essential fund documentation, such as limited partnership agreements, subscription agreements, and private placement memoranda.
  • Advise clients on fund structuring and ensure regulatory compliance.
  • Provide continuous support to fund managers and investors regarding fund-related issues.
  • Counsel clients on corporate governance, fiduciary duties, and potential conflicts.
  • Assist clients with regulatory filings and compliance matters for private investment funds.
  • Ensure compliance with both federal and state securities regulations.
  • Advise clients on SEC regulations, including the Investment Company Act and Investment Advisers Act.
  • Oversee securities filings and reporting requirements.
  • Draft and negotiate transactional documents for fund-related investments.
  • Coordinate with other practice areas on multi-disciplinary transactions.
  • Support mergers, acquisitions, joint ventures, and other corporate transactions involving fund clients.
  • Participate in client development and relationship-building activities.
  • Keep current with industry trends and developments to provide proactive client advice.

Requirements

  • Experience: At least 7 years in fund formation, particularly in private equity, real estate, venture capital, and other asset classes; skilled in advising clients on fund structuring, capital raising, compliance, and related legal matters.
  • Book of Business: A portable client base is essential.
  • Academic Credentials: JD from an ABA-accredited law school with strong academic performance.
  • Licensing: Active license to practice law.
  • Skills: Excellent analytical and drafting abilities, client-focused approach, and strong verbal and written communication.
  • Project Management: Ability to manage multiple responsibilities and maintain organizational detail.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

  • Active law license.

  • Deep knowledge of fund formation processes and regulatory compliance.
  • Proficiency in drafting and negotiating fund-related legal documents.
  • Strong organizational skills to manage multiple complex projects.
