Paralegal III - Investment Banking and Securities Section The candidate will review and negotiate disclosure documents, distribution agreements, marketing materials and other documents in connection with securities and other investment product offerings. Will review and negotiate purchase agreements, engagement letters, formation documents, conflict waivers, joinder and other agreements in connection with private equity and other commercial finance transactions. Review property/equity transfer documents and other documents in connection with commercial mortgage origination and servicing transactions. Review or manage process for review of confidentiality agreements. Manage internal approval process for proprietary financial product offerings. Conduct in-depth research on federal/state banking and securities laws. Interact with senior management team regarding review and preparation of filings with the federal regulatory agencies, including the Federal Reserve, SEC, NYSE, OCC and FINRA.
Qualification and Experience
The candidate must have 6+ years of paralegal experience with 3+ years of focused practice in a concentrated area of law. Paralegal certification may be required in some states. Strong research skills are preferred. Advanced MS Office (Word, Excel, Outlook, and PowerPoint) skills are desired. Financial services industry experience is an asset. Ability to proactively manage and mitigate issues is a plus. Understanding of FINRA website is ideal. Familiarity with EDGAR system is preferred. Application Deadline: February 14, 2020.
