Commercial Counsel Duties: Provide rapid, practical, business-oriented legal advice directly to business clients. Review, markup/draft (from forms and from scratch), negotiate and close commercial contracts, including product supply, distribution, OEM, retailer, dealer, collaboration, nondisclosure, license, services and procurement agreements; statements of work; licenses; RFP responses; and supporting documents. Actively engage with the product development teams to help identify and capture innovations through patents or trade secrets. Flexibility and willingness to work on a broad variety of legal matters. Apply innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk and foster long-term client relationships. Collaborate with and facilitate cross-team decision-making among the Legal team, Finance team, business teams and other internal teams. Assist with legal aspects of M&A, including diligence, deal negotiation, and target integration. Manage assigned projects to completion. Assist the business in resolving legal issues related to HR, compliance, product liability and other general matters.
Qualification and Experience
Qualifications: BA or BS. JD Degree from an accredited law school; strong academic performance. Licensed to practice law in a US state or the District of Columbia; California, Oregon and/or Massachusetts a plus. Licensed to practice before the United States Patent Office a plus. 6+ years of relevant experience in a law firm and corporate legal department. Strong, practical experience with negotiating commercial and corporate contracts of all types, and other experience demonstrating ability to handle and close commercial and legal negotiations. Strong, practical experience with assisting in the review and capture of product innovations, including patent protection and trade secret protection. Experience supporting M&A activities, including due diligence, deal negotiation and integration. Excellent interpersonal, analytical and communication skills; a succinct verbal and written communication style, and a good listener. Excellent strategic thinking and drafting skills; pragmatism coupled with creativity, common sense, and a sense of humor. A bias for action, strategically proactive, dynamic and personable. Ability to manage up, down, and work well with peers; ability to push back without alienating others. Team orientation; collaboration skills; hands-on approach. A detail-oriented, business-friendly team player with the ability to think creatively and accommodate tight deadlines. Strong work ethic and the ability to work independently. Preferred: Experience in national law firm environment. In-house corporate legal department experience in a technology-oriented, manufacturing public company or a software company. Experience across a range of legal disciplines related to hardware (including IP, regulatory, marketing, e-commerce, retail, privacy). Experience in intellectual property law, including patent law and licensing of IP rights. Experience in litigation support.
