ProfileParalegal The candidate provides support to the General Counsel and the Legal Department involving a wide variety of tasks. Intellectual Property: Manage firm’s global portfolio of intellectual property, including work with outside counsel on the filing and prosecution of patent and trademark applications, management of responses to office actions from around the world, maintenance of issued patents and trademarks, and enforcement of firm’s rights against infringers. Assist with monitoring for potential infringement or unauthorized sale of firm's intellectual property. Serve on the Patent Review Committee and Patent Audit Committees; organize and set agendas for meetings. Commercial Agreements: Assist with the completion, negotiation and execution of Equipment Lease Agreements with customers for firm’s equipment rental business, assist with compliance with insurance requirements and insurance claims for lost or damaged equipment. Assist with the completion, negotiation and execution of Service Agreements with customers and laboratory access and laboratory pledgeholder agreements for firm’s post-production business. Assist with the completion, negotiation and execution of Non-Disclosure Agreements, vendor and supplier agreements, and a broad range of other commercial agreements for the businesses. Tax incentive compliance. Corporate Governance and Transactions: Maintain corporate minute books for firm and its subsidiaries, assist in the formation, qualification to do business and dissolution of entities, prepare minutes, certificates and other documents as necessary. Assist with due diligence and the closing of corporate transactions. Compliance: Manage US regulatory and compliance matters, including issues in connection with manufacturing (such as DTSC, SCAQMD, EPA and OSHA), operational permits and licenses and the shipment of hazardous materials. Arrange training and updates for staff regarding compliance matters. Shipping: Assist with international shipping issues as they arise. Negotiate contracts with UPS, Fed Ex and other shippers. Department Administration: Maintain an organized and accurate filing system to allow for easy retrieval of contracts. Review invoices received by the Department for accuracy and submit to General Counsel for approval, coordinate payment. Other duties and assignments as required. Should have 10 years of paralegal experience, with a mix of working in house and law firm, preferred. Must be familiar with administrative concepts, practices and procedures, relying on experience and judgment to plan and accomplish goals. Should have proficiency with the following Microsoft applications at the intermediate advanced level: Outlook, Word, PowerPoint and Excel. Must have ability to program and operate general business equipment: photocopier, scanner, printer and fax machine.
