Corporate Counsel (Commercial) The candidate provides general legal support and advice on broad range of legal activities for the Commercial business unit. Support for the Companyâ€™s commercial contracts, regulatory, and litigation groups in addition to general advice and counsel on risk mitigation globally. Provides advice and counsel to therapeutic business units and support functions worldwide. Identifies and mitigates risks and proposes alternative structures regarding Companyâ€™s commercial transactions. Drafts, reviews, and provides advice and counsel regarding contracts between the Company, third parties and customers. Develops standard form NDAâ€™s, CDAâ€™s, contracts, contracting processes, and policies on legal issues affecting Companyâ€™s commercial and business units. Provides training and education to the Companyâ€™s business units regarding legal updates, best practices, and risk mitigation. Supports internal legal team regarding corporate due diligence. Must have Juris Doctorate degree and moderate experience in a major law firm, major in-house legal department, relevant government agency or combination of any of these. HIPAA experience required; knowledge or experience in REMS programs is preferred. Experience providing counsel in a highly regulated environment is preferred and familiarity with CRO or pharmaceutical industry is required. Strong preference for broad US commercial /transactional experience (contract negotiating and drafting) is essential. Strong negotiation skills and excellent interpersonal skill is essential.
